1. ACCEPTANCE OF TERMS

Welcome to BUY HOWO TRUCK (the “Company,” “we,” “us,” or “our”), operating at buyhowo.com (the “Website”). These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and BUY HOWO TRUCK regarding your access to and use of the Website, as well as any purchase of vehicles, parts, or export services made through us.
 
By accessing this Website or initiating a request for quotation (RFQ), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately discontinue use of the Website and cease all communications with our sales team.
 
Nature of Business: BUY HOWO TRUCK operates exclusively as a B2B (Business-to-Business) export facilitator. We are not a retail dealership serving individual consumer buyers for personal, family, or household use. All transactions are conducted under international trade laws and Incoterms® 2020.
 

2. ELIGIBILITY AND REPRESENTATIONS

By engaging with BUY HOWO TRUCK, you represent and warrant that:
  • You are a legitimate business entity, including but not limited to a registered corporation, limited liability company, government procurement department, fleet operator, or licensed automotive distributor.
  • You have the legal authority to enter into international trade contracts on behalf of your organization.
  • You intend to purchase vehicles for commercial resale, fleet operation, mining, construction, or government infrastructure projects, and not for personal consumer use.
  • You possess the necessary import licenses, permits, and financial capacity to import heavy-duty vehicles into your destination country in compliance with local laws.
 

3. PRODUCTS AND SPECIFICATIONS

3.1. Product Descriptions

We strive to provide accurate descriptions, photographs, and technical specifications for all SINOTRUK HOWO trucks listed on our Website. However, given the nature of industrial manufacturing and custom configurations:
  • Specifications May Vary: Engine ratings, axle configurations, cabin styles, and body dimensions may vary slightly based on production batches and factory availability at the time of order confirmation.
  • Customization: Any customized configuration (e.g., specific tank sizes, reinforced chassis for mining) is subject to final engineering approval by the SINOTRUK factory. We will provide a final specification sheet for your written approval prior to production commencement.
  • No Warranty of Fitness: While we ensure vehicles meet stated specifications, it is your responsibility to verify that the selected configuration meets the regulatory, environmental, and operational requirements of your destination country (e.g., emission standards, right-hand/left-hand drive laws, weight limits).
 

3.2. Availability

All offers are subject to availability. We reserve the right to modify product offerings, discontinue models, or adjust specifications without prior notice due to supply chain constraints or factory policy changes.
 

4. ORDERING PROCESS AND QUOTATIONS

4.1. Request for Quotation (RFQ)

The submission of an RFQ via our Website or email (sales@buyhowo.com) does not constitute a binding order. It is an invitation for us to provide a proforma invoice.
 

4.2. Proforma Invoice (PI)

A binding agreement is only formed when:
  1. We issue a Proforma Invoice (PI) detailing the vehicle specifications, price, Incoterm, port of loading, and delivery timeline.
  2. You sign and return the PI.
  3. We receive the required deposit payment as specified in the PI.
 

4.3. Pricing

  • Currency: All prices are quoted in United States Dollars (USD) unless otherwise explicitly stated in writing.
  • Incoterms: Prices are based on specific Incoterms® 2020 (typically FOB [Free On Board] Chinese Port or CIF [Cost, Insurance, and Freight] Destination Port).
    • FOB: The price includes the vehicle cost and delivery to the Chinese port. You are responsible for ocean freight, insurance, and destination charges.
    • CIF: The price includes the vehicle cost, ocean freight, and basic marine insurance to the destination port. You are responsible for unloading, customs clearance, duties, taxes, and inland transport at the destination.
  • Validity: Quotations are valid for seven (7) days from the date of issuance, subject to currency fluctuation and raw material cost adjustments by the manufacturer.
 

5. PAYMENT TERMS

5.1. Payment Method

All payments must be made via Telegraphic Transfer (T/T) to the corporate bank account designated in the Proforma Invoice. We do not accept cash, personal checks, or cryptocurrency.
 

5.2. Payment Schedule

Unless otherwise agreed in writing for established long-term partners:
  • Deposit: A non-refundable deposit of 30% of the total contract value is required to confirm the order and initiate production or reservation of stock.
  • Balance: The remaining 70% balance must be paid in full before the vehicle is loaded for shipment.
  • Proof of Payment: Upon receipt of the balance, we will provide copies of the Bill of Lading, Commercial Invoice, Packing List, and Certificate of Origin. Original documents will be released via courier or telex release upon confirmation of funds clearance.
 

5.3. Bank Charges

All bank charges incurred in the country of origin (China) are borne by the Buyer. All bank charges in the destination country are borne by the Buyer.
 

6. SHIPPING AND DELIVERY

6.1. Delivery Timeline

Estimated delivery times provided in the Proforma Invoice are approximate and based on current factory production schedules and shipping line availability.
  • Force Majeure: We are not liable for delays caused by factors beyond our reasonable control, including but not limited to: factory production delays, port congestion, labor strikes, acts of God, war, terrorism, pandemics, or changes in government export/import regulations.
 

6.2. Risk of Loss

  • FOB Shipments: Risk of loss or damage transfers from the Seller to the Buyer once the goods pass the ship’s rail at the port of loading in China.
  • CIF Shipments: Risk of loss or damage transfers from the Seller to the Buyer once the goods are on board the vessel at the port of loading, despite the Seller paying for freight and insurance to the destination. The insurance policy covers the voyage; claims for damage during transit must be filed with the insurance provider upon arrival.
 

6.3. Inspection

We strongly recommend (and can facilitate) third-party pre-shipment inspections (e.g., SGS, BV, Intertek) at the buyer’s expense prior to the final balance payment. Once the vehicle leaves the Chinese port, claims regarding cosmetic condition or minor discrepancies not noted in the pre-shipment report will not be accepted.
 

7. WARRANTIES AND DISCLAIMERS

7.1. Manufacturer’s Warranty

All new SINOTRUK HOWO trucks come with the standard International Manufacturer’s Warranty provided by SINOTRUK.
  • Coverage: Typically covers major powertrain components (engine, transmission, axles) for a period of 12 months or 100,000 kilometers (whichever comes first) from the date of delivery.
  • Exclusions: The warranty does not cover wear-and-tear items (tires, brake pads, filters, batteries), damage caused by improper operation, overloading, lack of maintenance, accidents, or unauthorized modifications.
  • Claim Process: Warranty claims must be processed through authorized SINOTRUK service centers in the destination country. BUY HOWO TRUCK acts as a facilitator to communicate with the factory but is not the direct provider of warranty repair services.
 

7.2. Used Vehicles (If Applicable)

If the transaction involves certified used vehicles, they are sold “AS-IS, WHERE-IS” with no warranty unless explicitly stated in a separate written warranty addendum. A detailed inspection report and video walkthrough will be provided prior to sale to disclose the vehicle’s condition.
 

7.3. Disclaimer of Implied Warranties

EXCEPT FOR THE EXPRESS MANUFACTURER’S WARRANTY STATED ABOVE, BUY HOWO TRUCK DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE VEHICLES WILL MEET SPECIFIC LOCAL REGULATORY REQUIREMENTS OF YOUR COUNTRY UNLESS EXPLICITLY CONTRACTED AS A CUSTOM CONFIGURATION.
 

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law, BUY HOWO TRUCK’s total liability to you for any claim arising out of or relating to these Terms or the purchase of vehicles shall not exceed the total purchase price of the specific vehicle(s) giving rise to the claim.
 
In no event shall BUY HOWO TRUCK be liable for:
  • Indirect, incidental, special, or consequential damages.
  • Loss of profits, revenue, or business opportunities.
  • Downtime costs, loss of data, or operational interruptions resulting from vehicle delivery delays or mechanical issues.
  • Damages resulting from your failure to comply with local import laws or maintenance schedules.
 

9. INTELLECTUAL PROPERTY

All content on this Website, including text, graphics, logos, images, videos, and software, is the property of BUY HOWO TRUCK or its content suppliers and is protected by international copyright laws.
  • You may not reproduce, distribute, modify, or create derivative works of any content on this Website without our express written permission.
  • The “HOWO” and “SINOTRUK” trademarks are the property of China National Heavy Duty Truck Group Co., Ltd. Their use on this site is for identification and descriptive purposes only.
 

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall apply to transactions between parties in contracting states.
 

10.2. Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the matter amicably through good-faith negotiation. If negotiation fails within thirty (30) days, the dispute shall be finally settled under the Rules of Arbitration of the China International Economic and Trade Arbitration Commission (CIETAC) by one or more arbitrators appointed in accordance with said rules. The place of arbitration shall be Beijing, China, and the language of arbitration shall be English. The arbitral award shall be final and binding upon both parties.
 

11. EXPORT COMPLIANCE AND SANCTIONS

You represent and warrant that:
  • You are not located in, nor are you a national of, any country subject to comprehensive trade embargoes or sanctions by the United Nations, the United States, the European Union, or the People’s Republic of China.
  • You will not export, re-export, or transfer any vehicles purchased from us to any prohibited end-user or for any prohibited end-use (e.g., nuclear, chemical, or biological weapons proliferation).
  • You agree to comply with all applicable export control laws and regulations. BUY HOWO TRUCK reserves the right to cancel any order and refuse service if we suspect a violation of these compliance standards.
 

12. MODIFICATION OF TERMS

BUY HOWO TRUCK reserves the right to modify these Terms of Service at any time without prior notice. Changes will be effective immediately upon posting to the Website. Your continued use of the Website or placement of orders after such modifications constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.
